Welcome to Datajar! These Terms of Service ("Terms") govern your access to and use of the Datajar conversational AI analytics platform, website, and services (collectively, the "Services"), provided by Datajar ("Datajar," "we," "us," or "our").
Please read these Terms carefully before using our Services. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

1. Description of Services

Datajar is a conversational AI analytics platform for fashion e-commerce. Our Services help Shopify store owners grow revenue through chat-based insights and recommendations, eliminating the need for traditional dashboards. The platform integrates your store's entire data stack (store, ads, competitors, analytics) to provide instant analysis, benchmarking, and strategic guidance.

2. User Accounts and Responsibilities

2.1. Account Creation

To access and use our Services, you must create an account ("Account"). You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your Account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete.

2.2. Account Security

You are responsible for safeguarding your password and for any activities or actions under your Account. We encourage you to use a "strong" password (a password that uses a combination of upper and lower case letters, numbers, and symbols) with your Account. You agree to notify us immediately of any unauthorized use of your Account.

2.3. Your Responsibilities

You are responsible for your use of the Services and for any content you provide, including compliance with applicable laws, rules, and regulations. You should only provide content that you are comfortable sharing with others.

3. Fees and Payments

3.1. Subscription Fees

Our Services are provided on a subscription basis. You agree to pay all applicable fees for the subscription plan you select. All fees are non-refundable, except as required by law or as otherwise stated in these Terms.

3.2. Payment Processing

We use a third-party payment processor (Stripe) to bill you through a payment account linked to your Account. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor in addition to these Terms. We are not responsible for any errors by the payment processor.

3.3. Free Trials

We may offer a free trial for a limited period of time. At the end of the free trial period, your subscription will automatically renew and you will be charged the applicable subscription fees, unless you cancel your subscription before the end of the free trial period.

4. Intellectual Property Rights

4.1. Our Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Datajar, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4.2. Your Content

You retain all rights to any content you submit, post, or display on or through the Services ("Your Content"). By submitting, posting, or displaying Your Content on or through the Services, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute Your Content in any and all media or distribution methods (now known or later developed) for the purpose of providing and improving our Services.

•Interfere with or disrupt any user, host, or network, for example by sending a virus, overloading, flooding, spamming, or mail-bombing any part of the Services;
•Plant malware or otherwise use the Services to distribute malware;
•Access or search the Services by any means other than our publicly supported interfaces (for example, "scraping");
•Send unsolicited communications, promotions or advertisements, or spam;
•Send altered, deceptive or false source-identifying information, including "spoofing" or "phishing";
•Publish anything that is fraudulent, misleading, or infringes another's rights;
•Promote or advertise products or services other than your own without appropriate authorization;
•Impersonate or misrepresent your affiliation with any person or entity;
•Publish or share materials that are unlawfully pornographic or indecent, or that contain extreme acts of violence;
•Advocate bigotry or hatred against any person or group of people based on their race, religion, ethnicity, sex, gender identity, sexual preference, disability, or impairment.

7. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS.

7.2. Limitation of Liability

IN NO EVENT WILL DATAJAR, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

8. Indemnification

You agree to defend, indemnify, and hold harmless Datajar, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

9. Termination

We may terminate or suspend your access to our Services, in our sole discretion, at any time and without notice to you. Upon termination, all licenses and other rights granted to you in these Terms will immediately cease.

10. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of, or related to them, shall be governed by and construed in accordance with the internal laws of the State of Qatar without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Qatar.

11. Miscellaneous

11.1. Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and Datajar regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

11.2. Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.
